CBC assumes no liability for damages of any kind arising in connection with participation in events, use of offers, or provision of services, unless such damages are based on intent or gross negligence on the part of CBC.

All participants, members, partners, and speakers act independently and bear full responsibility for their actions.

2. Disclaimer for Events

2.1 Event Participation

Participation in all events (networking events, seminars, workshops, tours, business dinners, etc.) is at your own risk. CBC is not liable for:

  • Personal injury or property damage during the event
  • Loss or damage to personal belongings
  • Accidents on the way to or from the event
  • Health impairments or injuries
  • Allergic reactions to food or beverages
  • Damages due to force majeure or unforeseeable events

2.2 Changes and Cancellations

CBC reserves the right to change, postpone, or cancel events at any time. Liability for resulting costs (travel, accommodation, etc.) is excluded.

2.3 Participant Behavior

CBC is not liable for the behavior of other participants, partners, or guests at events. Each participant is responsible for their own behavior.

3. Disclaimer for Members

3.1 Independent Action

All CBC members act independently. CBC is not liable for:

  • Business decisions or contracts between members
  • Financial losses from business relationships with other members
  • Quality, reliability, or credibility of business partners within the network
  • Disputes between members
  • Confidentiality of information exchanged between members

3.2 Business Relationships

Members are fully responsible for verifying the credibility, creditworthiness, and reliability of business partners they meet through CBC. CBC provides no guarantee for the quality of business contacts or collaborations.

3.3 Membership Benefits

CBC is not liable for the availability or quality of partner offers, discounts, or other membership benefits. Changes or discontinuation of benefits may occur at any time.

4. Disclaimer for Partners

4.1 Partner Offers and Services

CBC works with various partners to provide members with exclusive benefits. However, CBC is not liable for:

  • Quality, availability, or accuracy of partner offers
  • Services, products, or offers from partner companies
  • Disputes between members and partners
  • Financial losses through partner offers
  • Changes or termination of partnership agreements
  • Data protection and data security at partner companies

4.2 Partner Independence

Partner companies act independently and on their own responsibility. They are solely responsible for their offers, services, and compliance with all legal requirements.

4.3 No Warranty

CBC assumes no warranty for the fulfillment of partner offers, discounts, or special conditions. Members must review and conclude contracts directly with partners.

5.1 Content and Statements

Speakers at CBC events act independently. CBC is not liable for:

  • Content, opinions, or statements of speakers
  • Accuracy, completeness, or currency of presented information
  • Business or legal advice from speakers
  • Financial decisions based on speaker contributions
  • Copyright infringements by speakers
  • Personal opinions or political statements by speakers

5.2 Speaker Independence

Speakers are solely responsible for the accuracy, legality, and quality of their content. They are personally liable for any damages arising from their statements or actions.

5.3 No Professional Advice

Presentations and lectures do not constitute professional legal, tax, or financial advice. Participants must decide for themselves whether and how to use the provided information.

6. Disclaimer for Tours and Experiences

6.1 Tour Participation

Participation in tours, city tours, and experiences is at your own risk. CBC is not liable for:

  • Accidents during the tour
  • Health problems or injuries
  • Loss or theft of personal belongings
  • Weather conditions or natural events
  • Quality or availability of transportation
  • Behavior of other participants or third parties

6.2 Health Requirements

Participants are responsible for ensuring they are physically able to participate in a tour. CBC assumes no liability for health impairments.

6.3 External Providers

Tours are partly conducted by external providers. CBC is not liable for their services, reliability, or safety standards.

7. Disclaimer for Digital Content and Website

7.1 Website Content

CBC strives to keep all information on the website correct and up to date. However, CBC is not liable for:

8. Disclaimer for Financial and Business Matters

8.1 No Financial Advice

CBC does not provide financial, investment, tax, or legal advice. CBC is not liable for:

  • Financial decisions by members
  • Investments or business transactions
  • Losses from business relationships within the network
  • Tax or legal consequences
  • Failed cooperations or partnerships

8.2 Business Success

CBC provides no guarantee for business success, new customers, revenue increases, or other economic benefits through membership.

8.3 Payments and Transactions

Members are solely responsible for the processing and security of their financial transactions with other members, partners, or third parties.

8.4 Business Transactions Between Members and Referral Commission

Cosmopolitan Business Club assumes no liability whatsoever for legal transactions and business dealings that are concluded, or fail to be concluded, between members, between members and third parties, or through the referral of business contacts. Liability is expressly excluded for:

  • The conclusion, execution, or failure of business relationships and contractual agreements
  • Pecuniary damages of any kind arising from business dealings with contacts referred by CBC
  • Creditworthiness, reliability, performance capacity, or trustworthiness of business partners
  • Non-performance or defective performance of contractual obligations between the parties
  • Damages arising from breaches of duty, tortious acts, or unconscionable conduct by third parties

Legal Clarification Regarding Referral Commission: CBC's referral commission is paid exclusively for establishing initial contact between potential business partners and facilitating business initiation. Payment of the commission does not create any:

  • Guarantee or warranty for the successful conclusion or proper fulfillment of legal transactions
  • Liability for the economic performance capacity or legal reliability of the referred parties
  • Obligation to verify the creditworthiness, reputation, or legal capacity of referred contacts
  • Claims for damages in the event of non-conclusion or failure of business relationships

All verification, due diligence, and safeguarding obligations rest exclusively with the respective contracting parties. Each member is obligated to independently conduct appropriate due diligence examinations, verify the creditworthiness and reliability of business partners, and implement suitable legal and economic safeguarding measures.

9. Disclaimer for Privacy and Confidentiality

9.1 Information Exchange Between Members

CBC is not liable for the confidentiality of information exchanged between members. Each member is personally responsible for what information they share.

9.2 Data Security at Third Parties

When using partner offers or sharing data with third parties (e.g., for bookings), CBC is not responsible for the data protection practices of these third parties.

9.3 Public Information

Information that members share at events or in public areas cannot be treated as confidential. CBC assumes no liability for the dissemination of such information.

10. Force Majeure and Unforeseeable Events

CBC is not liable for damages or failures caused by force majeure or unforeseeable events, including but not limited to:

  • Natural disasters (storms, earthquakes, floods, etc.)
  • Pandemics, epidemics, or health crises
  • Strikes, work stoppages, or lockouts
  • Terrorist attacks or armed conflicts
  • Government orders or prohibitions
  • Technical failures by third parties (electricity, internet, etc.)
  • Other unforeseeable and unavoidable events

In such cases, CBC is entitled to cancel, postpone, or change events without giving rise to claims for damages.

11. General Limitation of Liability

To the extent legally permissible, CBC's liability is limited to intent and gross negligence. Liability for simple negligence is excluded, except in cases of injury to life, body, or health.

11.1 Exclusion of Consequential Damages

CBC is not liable for indirect damages, consequential damages, lost profits, data loss, or other indirect damages, unless they are based on intent or gross negligence.

11.2 Amount of Liability

Insofar as CBC's liability exists, it is limited in amount to the membership fee or participation fee for the respective event.

11.3 Insurance Coverage

CBC strongly recommends that all participants take out their own liability and accident insurance. CBC does not provide insurance coverage for participants.

12. Indemnification

12.1 Indemnification by Members

Members indemnify CBC against all third-party claims arising from their own behavior, business relationships, or statements at events. This includes reimbursement of reasonable legal defense costs.

12.2 Indemnification by Partners

Partner companies indemnify CBC against all claims arising from their offers, services, or products. They are solely liable for the fulfillment of their contractual obligations.

12.3 Indemnification by Speakers

Speakers indemnify CBC against all claims arising from their content, statements, or behavior at events, including copyright infringement or false statements of fact.

13. Governing Law and Jurisdiction

13.1 Applicable Law

All legal relationships between CBC and its members, partners, or participants are exclusively governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

13.2 Jurisdiction

To the extent legally permissible, the exclusive place of jurisdiction for all disputes is the registered office of CBC. However, CBC is entitled to sue members at their place of residence.

13.3 Severability Clause

Should individual provisions of this disclaimer be or become invalid, this does not affect the validity of the remaining provisions. An invalid provision will be replaced by a valid one that comes closest to the economic purpose of the invalid provision.

By registering as a member, participating in events, or using the services of Cosmopolitan Business Club, you expressly acknowledge and accept this comprehensive disclaimer and agree that you act independently and at your own risk.
